These Terms of Service (the “Terms”) govern every service that Aroya Systems provides to its clients. By accepting a proposal, paying a deposit or an invoice, or asking us in writing to start work, you agree to these Terms.

Key points

  • Every project starts with a written proposal that sets the scope, price, timeline and number of revisions.
  • Prices are in US dollars. A 50% deposit secures the project start and the balance is due at launch.
  • Third-party costs such as platform subscriptions, themes, apps, domains and hosting are paid by the client.
  • You own the final deliverables once the project is paid in full.
  • Cancellations and refunds follow our Refund & Cancellation Policy.

This summary is for convenience. The full text below applies.

01Who we are

The services are provided by Aroya Systems, a limited liability company organized under the laws of the State of Wyoming, with its business address at 30 N Gould St, Ste 100, Sheridan, WY 82801, United States. In these Terms, “we”, “us” and “our” refer to Aroya Systems. “You” and “the client” refer to the person or business ordering services.

02Our services

Aroya Systems provides the following services, as described on our Services page:

  • website design and development;
  • Shopify store creation and customization;
  • WordPress websites;
  • e-commerce solutions, including catalog, checkout, shipping and tax configuration;
  • SEO and website performance optimization;
  • digital consulting, audits, maintenance and ongoing support.

All services are digital and delivered remotely. We do not sell or ship physical products.

03Proposals and contract

Before any work begins, we send you a written proposal or quote. It sets out at least the scope of work, the deliverables, the price, the payment schedule, the estimated timeline and the number of revision rounds included.

A proposal is valid for the period stated on it, or for 30 days if no period is stated. The contract is formed when you accept the proposal in writing (including by email) or pay the deposit. The contract consists of the accepted proposal and these Terms. If they conflict, the accepted proposal prevails.

Prices shown on our Pricing page are starting prices for information only. They do not constitute an offer. The price that applies to your project is the one in your accepted proposal.

04Projects we do not accept

We reserve the right to decline any project. We do not build or support websites, stores or content that:

  • are illegal, fraudulent or deceptive, or infringe the rights of others;
  • sell prohibited or restricted goods or services, including weapons, illegal drugs, counterfeit products or unlicensed financial services;
  • involve adult content, gambling, hate speech or harassment;
  • impersonate another person, brand or organization, or collect data under false pretenses.

If we learn during a project that it falls into one of these categories, we may stop work immediately, in which case section 17 applies.

05Prices and payment

  • Currency. All prices and invoices are in US dollars (USD), unless your proposal states another currency.
  • Deposit. A deposit of 50% of the project price is due before work begins. Your project is scheduled once the deposit is received.
  • Balance. The remaining 50% is due at launch, before the website goes live on your domain or before final files and administrator access are handed over, unless your proposal sets different milestones.
  • Recurring services. Maintenance plans, SEO campaigns and retainers are invoiced in advance for each billing period stated in the proposal.
  • Payment methods. Invoices are paid by bank transfer or by the other payment methods shown on the invoice. We do not store card details.
  • Fees. Bank, transfer and currency conversion fees charged by your bank or payment provider are your responsibility.
  • Taxes. Prices do not include any sales tax, VAT or other tax that may apply in your country. Where such taxes apply, they are added to the invoice or paid by you.
  • Late payment. If an invoice is unpaid after its due date, we may pause work until it is paid. Timelines are extended accordingly.

06Your responsibilities

To deliver on time, we rely on you to:

  • provide content (texts, images, logos, product data) in the agreed format and on time;
  • give us the access we need, such as platform, hosting, domain and third-party accounts;
  • review deliverables and give consolidated feedback within the time agreed in the proposal;
  • make sure that you own, or have the right to use, everything you send us, and that your content and products comply with the law.

You remain responsible for your website's content, your products, your legal pages and your compliance with the laws that apply to your business. Delays caused by missing content, access or feedback extend the timeline. If a project is put on hold by the client for more than 30 days, we may treat it as cancelled under the Refund & Cancellation Policy.

07Timelines

Timelines in proposals are estimates given in good faith, based on the agreed scope and on you meeting your responsibilities. Delivery times on our Pricing page (for example one week or two to four weeks) are typical durations and are not guaranteed for every project.

08Revisions and changes of scope

Each package includes the number of revision rounds stated in the proposal. A revision round is one consolidated set of changes to an existing deliverable, within the agreed scope.

Requests that go beyond the agreed scope, such as new pages, new features, a new design direction or extra revision rounds, are changes of scope. We will quote them separately, and we start them only after your written approval.

Where a package includes “unlimited revisions within scope”, this covers adjustments to the agreed deliverables. It does not cover new deliverables or a change of direction after approval.

09Third-party platforms and costs

Our work often relies on third-party platforms and services such as Shopify, WordPress, themes, plugins, apps, hosting, domain registrars and payment gateways. Unless your proposal says otherwise:

  • their subscriptions, licences and fees are paid by you, and accounts are opened in your name;
  • their own terms and policies apply to your use of them;
  • we are not responsible for their availability, pricing changes, policy decisions or outages, or for the approval or refusal of your account by a platform or payment provider.

10Acceptance and launch

When a deliverable is ready, we send it to you for review. Unless you report a defect in writing within 7 days, it is considered accepted. Launching the website on your live domain also counts as acceptance. Defects reported after acceptance are handled under the support terms in section 12.

11Intellectual property

Your materials. You keep all rights to the content, logos, images and data you provide.

Final deliverables. Once the project is paid in full, you own the final custom design and code we created specifically for you. Until full payment, they remain the property of Aroya Systems.

Our tools and know-how. We keep ownership of our pre-existing tools, code libraries, templates and methods. We grant you a permanent, non-exclusive licence to use any of them that are included in your deliverables.

Third-party elements. Themes, plugins, fonts, stock images and other third-party elements remain subject to their own licences.

Portfolio. We will only show your project in our portfolio or marketing with your prior consent.

12Support and maintenance

Each package includes the post-launch support period stated in the proposal. During that period, we fix errors in the work we delivered at no extra cost.

Support does not cover new features, content updates, issues caused by changes made by you or a third party, or problems with third-party platforms, apps or hosting. These can be covered by a maintenance plan or quoted separately.

13Confidentiality

Each party keeps confidential the non-public information it receives from the other in connection with a project, such as business data, account access and pricing. This obligation continues after the project ends. It does not apply to information that is public or that must be disclosed by law.

We use your account access only for the project and recommend that you change passwords once the project ends.

14Results and warranties

We perform our services with professional care and skill. We do not guarantee specific business results, such as search engine rankings, traffic, conversion rates, revenue or sales. These depend on many factors outside our control, including search engine algorithms, your market, your products and your marketing.

Results and figures described on our website are examples of past engagements. They do not promise similar results for your project.

15Cancellation and refunds

Either party may cancel a project as described in our Refund & Cancellation Policy, which forms part of these Terms. It sets out what is refunded and what remains payable at each stage of a project.

16Limitation of liability

To the extent permitted by law:

  • Aroya Systems is not liable for indirect or consequential losses, such as loss of profits, revenue, data, business or goodwill;
  • Aroya Systems's total liability for any project is limited to the amount you paid for that project.

Nothing in these Terms limits liability for fraud, for gross negligence or wilful misconduct, or any other liability that cannot be limited by law.

17Suspension and termination

We may suspend or end a project by written notice if you seriously breach these Terms, for example by failing to pay an invoice after a reminder, providing unlawful content, or behaving abusively. In that case, the work performed up to the date of termination remains payable, as set out in the Refund & Cancellation Policy.

18Force majeure

Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as natural disasters, pandemics, war, power or internet outages, or failures of third-party platforms. The affected obligations are suspended for as long as the event lasts.

19Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States. Before taking any legal action, both parties agree to try to settle any dispute in good faith by contacting each other in writing at least 30 days in advance.

If the dispute is not resolved, it will be brought before the state or federal courts located in Wyoming. If you are a consumer, this does not deprive you of the protection of the mandatory laws of the country where you live, or of your right to bring a claim before its courts.

20Changes to these Terms

We may update these Terms from time to time. The version in force on the date you accept a proposal applies to that project. The date of the latest update is shown at the top of this page.
